The following documents are an integral part of these Terms: Privacy Policy, Acceptable Use Policy, Balance and Billing, Refund Policy and API Terms of Use. The full list of twelve documents is on the Legal page.
TexAPI is a gateway and integration layer: it buys processing capacity from AI infrastructure providers, consolidates models from many vendors behind a single programming interface, and resells them by actual usage.
TexAPI does not develop, does not own and does not operate any model. TexAPI is not an authorised reseller, partner or official distributor of Anthropic, OpenAI, Google, xAI or any model vendor. Model names are stated only to indicate technical compatibility.
The contract is entered into by electronic means when you create an account and accept these Terms together with the Privacy Policy and the Acceptable Use Policy. TexAPI records the type of document, the version of the document, the time, the IP address and device information.
The catalogue is dynamic. New models may appear; models may be removed or disabled. TexAPI does not commit that a particular model will remain available, and does not commit that a model’s behaviour will not change. Fetch the current list from the API instead of hard-coding it.
What we commit to in return: your balance is not lost when a model is removed; you use it for another model. If there is no suitable replacement model, you have the right to a refund of the unused balance.
Output generated by a model may be wrong, incomplete, out of date or misleading, even when it is expressed with great confidence. This is a characteristic of the technology. TexAPI does not warrant the accuracy, completeness or suitability of output, and does not control the content a model generates.
We bill by actual usage, measured in tokens, at four rates: input, output, cache read and cache write. Token counts are reported by the upstream provider. Every request has a pricing receipt you can view, recording the token counts, the rates in effect, discounts and the total; the receipt is written once and read back verbatim. Amounts are rounded to the micro-dollar, rounded up.
Requests that fail because of an error on TexAPI’s side or an upstream error are not charged. One exception is stated clearly: if a streaming request is cut off mid-stream after the model has already generated part of the answer, the part that was delivered to you is charged — including where the cause is an upstream timeout, and including where you disconnect yourself. The amount in that case does not exceed the sum held when the request began, and if nothing reached you, you are not charged.
Sale prices are derived from cost at a fixed target margin; they are not a hand-entered number. Prices may change automatically when upstream cost changes. Prices are not applied retroactively: each request is charged at the price in effect at the time of the request, and that price is recorded in the receipt. TexAPI gives 7 days notice when the price of a model rises by more than 10%. The prices and discounts of a subscription period already paid for do not change during that period. If you do not agree with a new price, you have the right to stop using the Service and to request a refund of the unused balance.
Listed prices are exclusive of tax. VAT is charged when the invoice is issued; domestic customers bear VAT at the applicable rate, and exported services are taxed at 0%.
Tax calculation and electronic invoicing are still being built. Our commitment until that is finished: if a tax obligation arises that the system has not collected, TexAPI bears it itself for transactions already completed and does not collect it retroactively from customers who have already paid. If you need an invoice during this period: contact support, and TexAPI will handle it manually.
TexAPI does not apply a “no refunds under any circumstances” rule. Three principles: money that has been paid but not yet used can be refunded; usage already consumed cannot, unless the charge was made in error; and if TexAPI is at fault, TexAPI pays it back, without you having to prove any loss.
A refund is mandatory, not discretionary, in these cases: being charged twice; being charged for a request whose output you did not receive; an amount that does not match the pricing receipt; being routed to a model other than the model you requested; a top-up that underpays or overpays and that the system does not resolve by itself; a transaction you did not make and that did not result from you exposing your login credentials; being charged for a subscription period after you had cancelled.
A refund of the entire unused balance when: TexAPI stops providing the service; the service is continuously interrupted for more than 72 hours; TexAPI raises prices, removes a model with no suitable replacement, or makes an adverse change to the terms that you do not accept; or TexAPI terminates your account for reasons other than your breach.
How to request one: email support with the subject [HOÀN TIỀN]. TexAPI acknowledges receipt within 2 working days, answers yes or no with reasons within 7 working days, and charges no processing fee. Your rights under consumer protection law are not limited by these Terms.
The Acceptable Use Policy is the governing document and an integral part of these Terms. This summary does not replace the full text: using the Service for unlawful activity is prohibited; content relating to the abuse of children is absolutely prohibited; content about weapons and dangerous substances is prohibited; malware, attacks on systems and fraud are prohibited; infringing other people’s rights, including the right to privacy and intellectual property rights, is prohibited; spam and large-scale abuse are prohibited; circumventing a model’s safety mechanisms is prohibited; sharing keys and reselling are prohibited; exceeding limits by using several accounts is prohibited; payment fraud is prohibited.
The following three obligations are mandatory if you display AI output to other people:
TexAPI does not prohibit you from operating in these fields — TexAPI requires you to have a reviewer and to make the disclosure. If you build a product for end users, you must carry these obligations into your own terms.
TexAPI does not currently provide a contractually binding service level agreement (SLA). For the specific reasons and what is committed to instead: see Service Levels.
The commitments that are in force: no charge for what could not be performed; transparency for every request through the pricing receipt; disclosure of incidents within 30 minutes for critical incidents and 2 hours for major incidents, through in-product notifications and email; 72 hours notice for planned maintenance that causes an interruption and 24 hours if it does not; and a refund of the unused balance if the service stops or is continuously interrupted for more than 72 hours.
TexAPI may suspend or restrict access where the Acceptable Use Policy has been breached, where there is a risk of immediate harm, where there is a lawful request from a competent authority, or where an upstream provider cuts off service.
TexAPI’s commitments when it suspends: we notify you, stating which term was breached and on what specific basis — no generic reasons; we give you an opportunity to explain, except for breaches concerning child safety or where there is a risk of immediate harm; the measure is proportionate to the conduct, and TexAPI does not use suspension as a way of holding on to your money; we restore the account and clear the breach from your record within 3 working days where it turns out to be a false alarm.
You may terminate at any time under Account → Danger Zone. If TexAPI stops providing the service, it gives 30 days notice and refunds the entire unused balance without you having to ask. TexAPI does not terminate accounts for inactivity.
After termination: API keys stop working; you can still view the ledger and payment history for 30 days so you can reconcile.
TexAPI is responsible for providing the Service as described, and for direct damage arising from TexAPI’s fault — including where the cause lies with an upstream provider. Upstream providers are TexAPI’s suppliers, not yours.
TexAPI is not responsible for: the content of the output a model generates and the consequences of your use of it; decisions you make on the basis of output; damage caused by your exposing an API key; damage caused by your breach of these Terms.
To the extent the law permits, TexAPI’s total liability in any one matter is limited to the greater of (a) the total amount you paid in the 12 months before it arose, and (b) your unused balance. This limit does not apply to damage caused by TexAPI intentionally or through gross negligence, to a breach of personal data protection obligations, or to any case in which the law does not permit a limit.
You indemnify TexAPI against third-party claims arising from the content you submit, from your commercial use of output, or from your breach of the Acceptable Use Policy and the obligations in section 11.
TexAPI is not liable where it cannot perform its obligations because of natural disaster, war, a decision of a state authority, a widespread telecommunications or electricity infrastructure failure, or a cyber attack beyond reasonable preventive measures.
This clause does NOT cover an upstream provider stopping its service, running out of quota, or terminating its contract. That is TexAPI’s risk — TexAPI chose the supplier, so TexAPI bears it, and you have the right to a refund of the unused balance.
A substantive change that is adverse to you: 30 days notice, with a summary of what has changed. A change that breaks API compatibility: 90 days. A change required by law may take effect immediately, with the reason stated.
If you do not accept an adverse change, you have the right to stop using the Service and to request a refund of the unused balance. TexAPI does not block your access because you have not clicked to agree to a new version.
A first complaint: email support with the subject [KHIẾU NẠI]. TexAPI answers within 7 working days. If you ask for the decision to be reviewed, someone other than the person who made the original decision will review it, also within 7 working days.
These Terms do not limit your right to complain to the consumer protection authority, to the personal data protection authority, or to bring a claim before a court of competent jurisdiction — and they do not require you to complete the two steps above first. TexAPI does not ask you to waive your right to bring a class action and does not impose mandatory arbitration.
These Terms are governed by the law of Vietnam. In all cases, your mandatory rights under Vietnamese consumer protection law apply, and nothing here reduces or excludes those rights. If a provision is held to be invalid, the remaining provisions remain in force.
The Vietnamese version is the version in force. A translation, if there is one, is for reference only.

The legal entity that operates TexAPI is in the process of being established. Its full name, tax code, registered address and legal representative will be published at Legal Notice as soon as that is complete. That does not reduce the commitments in these Terms — they are being performed, and you can request performance at the address above.
